General terms & conditions (English summary).
This page provides an English summary of the main terms and conditions for working with WiseStellar Agency. The formal and legally binding terms are written in Swedish. In case of any differences, the Swedish version always applies.
1. Scope and agreements
Each project or assignment is based on an agreed scope, budget and approximate timeline. This is normally described in writing (for example via email, proposal document or order confirmation).
Changes to scope may affect price and timeline. We try to discuss such changes as early and clearly as possible, and only proceed when we have your approval.
2. Responsibilities
WiseStellar is responsible for delivering the agreed work in a professional manner, using reasonable care and according to the specifications we have agreed on together.
You, as the customer, are responsible for providing correct information, content, access to necessary systems and timely feedback on deliveries. Delays in feedback or content may affect the schedule.
3. Delivery, acceptance and corrections
For most projects we work in stages (for example structure, design and implementation). We share drafts and intermediate versions along the way. After a delivery, there is usually a defined period during which you can request reasonable corrections within the agreed scope.
Larger changes or new ideas that go beyond the original agreement are typically handled as additional work and may require a new quote or an updated budget.
4. Prices, invoicing and payment terms
Prices are normally stated in SEK, excluding VAT unless otherwise specified. We may use fixed-price projects, hourly billing or a combination, depending on the assignment.
Invoicing often follows milestones (for example start, design approval, launch), or monthly for ongoing work. Standard Swedish payment terms apply, unless we agree otherwise in writing.
5. Intellectual property and usage rights
Unless we agree otherwise, you receive the right to use the delivered website and related material for your own business purposes once full payment has been made. WiseStellar may keep the right to reuse certain underlying components, patterns or generic solutions in other projects.
You are responsible for ensuring that any content you provide does not infringe on the rights of others (for example text, images, logos or trademarks).
6. Availability, hosting and third-party services
If WiseStellar provides hosting or manages technical services on your behalf, we will use reputable providers and make reasonable efforts to ensure good performance and uptime. However, we cannot guarantee 100% availability and are not responsible for outages or issues caused by third parties outside our control.
Specific terms for hosting, maintenance or builder services will be described in the relevant agreements or service descriptions.
7. Limitation of liability
To the extent permitted by applicable law, WiseStellar's liability is limited to the agreed fees for the specific project or service in question. We are not liable for indirect damages, such as lost profits, loss of data or business interruptions, except where mandatory law requires otherwise.
8. Termination and cancellation
If a project or ongoing service needs to be terminated early, we try to find a fair and practical solution. In general, work already performed is invoiced, and we agree on how to handle any partially completed deliverables.
9. Governing law and disputes
Our agreements are normally governed by Swedish law. Potential disputes are primarily handled through dialogue and negotiation. If that is not sufficient, the dispute may be resolved by a competent Swedish court, unless otherwise agreed.
